You retain ownership of all content and data you submit through our Services. By using our Services, you grant us a limited license to use your data solely for the purpose of providing and improving our Services.

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of the business relationship. This obligation survives termination of these Terms.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARTNER PAYMENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF OUR SERVICES.

Our total liability for any claim arising under these Terms shall not exceed the total fees paid by you to Partner Payments during the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Partner Payments, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

11. Termination

Either party may terminate this agreement with 30 days' written notice. We may suspend or terminate your access immediately if you violate these Terms or engage in activity that poses a risk to our platform, partners, or users.

Upon termination, all outstanding fees become immediately due. Provisions that by their nature should survive termination (including confidentiality, indemnification, and limitation of liability) will survive.

12. Dispute Resolution

Any disputes arising from these Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions. Any legal proceedings shall be brought exclusively in the courts of Virginia.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after changes are posted constitutes acceptance of the modified Terms.

14. Severability

These Terms, together with your individual partner agreement and our Privacy Policy, constitute the entire agreement between you and Partner Payments regarding the use of our Services and supersede all prior agreements and understandings.
